1. Scope & Services
These General Terms and Conditions apply to contracts between Betuel Ergin, operating under Spatial Studio BE, and her clients for services in the fields of Interior & Spatial Design, design consultation, spatial concepts, scenography and related creative services.
The specific scope of services, fees, project phases, timeframes and any additional services are defined in the respective individual proposal or booking. Individual agreements shall take precedence over these General Terms and Conditions.
2. Enquiries & Formation of Contract
Submitting an enquiry via the website does not constitute a binding commission.
For individual projects, a contract is concluded upon the client's acceptance of the proposal submitted by Spatial Studio BE or upon corresponding confirmation of the commission.
Where an advance payment has been agreed, Spatial Studio BE will generally commence work on the project only after receipt of that payment.
3. Project Process & Client Responsibilities
The client shall provide all information, measurements, floor plans, documents and decisions required for the project in a timely and complete manner.
Unless a separate on-site measurement service has been agreed, Spatial Studio BE may generally rely on the information and measurements provided by the client.
Delays resulting from missing information, late approvals or payments, or subsequent changes to the agreed scope of services may result in a corresponding adjustment of the project schedule.
4. Revisions & Additional Services
The scope of services agreed in the respective proposal, including any agreed revision rounds, is covered by the agreed fee.
Further changes, additional design options or services beyond the agreed scope may be commissioned separately and charged additionally following prior consultation.
Changes requested after a project stage has already been approved may also be treated as additional services.
5. Fees & Termination of a Project
Fees and payment terms are defined in the respective proposal. Unless otherwise agreed, invoices are payable in full within 10 calendar days of the invoice date.
If an ongoing project is terminated by the client, all services duly performed up to the date of termination as well as any project-related third-party costs already bindingly incurred shall be payable. Statutory rights of termination remain unaffected.
6. Products, Ordering Service & Implementation Guidance
Product recommendations, shopping lists and suggestions for furniture, lighting, materials, art and objects form part of the design concept where included in the agreed scope of services.
As a general rule, products are ordered and paid for directly by the client. Where Spatial Studio BE is additionally commissioned to handle the ordering process, this will — where agreed accordingly — be carried out in the name and on behalf of the client. The respective purchase contract is generally concluded directly between the client and the retailer, manufacturer or supplier.
Additional design guidance during implementation — such as on-site appointments, design reviews, material or product selections and consultation on design-related decisions — may be agreed separately.
Such guidance constitutes design-related support and does not include construction management, technical planning, structural engineering or supervision of the proper technical execution of works unless expressly agreed otherwise.
Travel time, travel expenses and, where applicable, accommodation costs relating to on-site services may be agreed and charged separately.
7. Visualisations, Designs & Usage Rights
Moodboards, drawings, renderings and 3D visualisations are intended to communicate the design concept and its spatial expression. Colours, materials, surfaces and lighting effects may differ in the completed space from their digital representation.
Design documents do not constitute technical or construction planning unless expressly agreed otherwise. Measurements and technical requirements must be verified by the relevant specialist contractors before implementation.
Concepts, designs, visualisations, drawings, moodboards and other creative work produced by Spatial Studio BE remain the intellectual property of Spatial Studio BE to the extent protected by applicable law.
Upon full payment of the agreed fees, the client receives the usage rights required for the implementation of the agreed project. Use for other projects or any further commercial exploitation requires the prior consent of Spatial Studio BE to the extent corresponding intellectual property rights apply.
8. Call a Designer
Call a Designer is a separate paid consultation service. Submitting an enquiry via the relevant form does not initially constitute a binding booking.
Following confirmation of the appointment, the appointment is bindingly reserved upon full payment of the agreed consultation fee.
Cancellation or rescheduling is possible free of charge up to 48 hours before the scheduled appointment.
For cancellations or rescheduling made less than 48 hours before the appointment, or in the event of a no-show, the agreed consultation fee will generally remain payable, unless mandatory statutory rights provide otherwise. The client remains entitled to demonstrate that no loss, or a substantially lower loss, has been incurred.
If the client arrives late, there is no entitlement to an extension of the agreed consultation time.
If Spatial Studio BE is required to cancel an appointment, an alternative appointment will be offered or any consultation fee already paid will be refunded.
Any statutory right of withdrawal available to consumers remains unaffected. Further information is provided in the separate Right of Withdrawal / Cancellation Policy.
9. Liability, Data Protection & Final Provisions
Spatial Studio BE shall be liable without limitation for intent and gross negligence as well as for damages arising from injury to life, body or health.
In the event of a slightly negligent breach of an essential contractual obligation, liability shall be limited to the foreseeable damage typical for the contract. Mandatory statutory liability provisions remain unaffected.
Spatial Studio BE shall not be liable for the independent services or performance of manufacturers, retailers, suppliers, contractors or other third parties unless their conduct is legally attributable to Spatial Studio BE.
Personal data is processed in accordance with applicable data protection laws. Further information can be found in the Privacy Policy.
German law shall apply. In relation to consumers, this choice of law shall apply only insofar as it does not deprive the consumer of mandatory protections provided by the law of the country of their habitual residence.
Should any individual provision of these General Terms and Conditions be or become invalid, the remaining provisions shall remain unaffected to the extent permitted by law.
